Terms of Service (“TOS”) PSU - EU

1. Parties

The Account Information Services are provided by Circit Limited, a company registered in Ireland with company registration number 564144 and registered office at The Business Centre, Mayor Street, IFSC, Dublin 1, Ireland (“Circit”, “us” or “we”) to you and/or your company (“Collaborator” or “you”). We can be contacted by email at [email protected].

2. Account Information Services (“AIS”)

An Auditor or Requestor has made a request for Collaborator to authorise access to bank account information. Under these TOS, you are agreeing to the specific terms that apply to the provision of Account Information Services (“AIS”) by Circit. These terms are additional to the TOS that apply to your use of the other Services provided by Circit. All terms defined in the Collaborator TOS apply to these Collaborator Account Information Services TOS, including but not limited to those relating to confidentiality and limitation of liability. The Collaborator Data Processing Agreement (“DPA”) applies to all personal data processed under this TOS.

3. Acceptance

By ticking the “I agree to the terms and conditions” checkbox and/or using the AIS and in consideration of your use of the AIS, you agree to be bound by these TOS. IF YOU ARE SIGNING UP TO USE THE AIS ON BEHALF OF A COMPANY OR OTHER ENTITY, YOU MUST HAVE THE AUTHORITY TO BIND THAT COMPANY OR OTHER ENTITY TO THESE TOS. If the Collaborator is not willing to be bound by these TOS, Collaborator should not use the Services.

4. Supervisory Authority

4.1 Circit’s activities as an Account Information Service Provider are supervised by the Central Bank of Ireland. Circit is a registered Account Information Service Provider and our registration number is C176625. The principal office of the Central Bank of Ireland is at New Wapping Street, North Wall Quay, Dublin 1 and they can be contacted at +353 (0)1 224 6000 or by email at [email protected].

4.2 For payment accounts held in the UK, Account Information Services are provided by Circit UK Limited. Circit UK Limited is authorised and regulated by the Financial Conduct Authority (FCA FRN 989346). You may view the registration on the Financial Services Register by visiting www.fca.org.uk/register or by contacting the FCA on 0800 111 6768 (freephone) or 0300 500 8082 or by email at [email protected].

4.3 In summary, the provision of Account Information Services for EU bank accounts, by Circit Limited, is supervised by the Central Bank of Ireland. The provision of Account Information Services for UK bank accounts, by Circit UK Limited, is supervised by the Financial Conduct Authority.

4.4 The Circit Platform, other than Account Information Services from the UK, is provided by Circit Limited.

4.5 Please note that the Services other than AIS are not supervised by the Central Bank of Ireland nor the Financial Conduct Authority.

5. Modification

These TOS may be updated and modified at any time. You will be notified of material changes to the TOS. Acceptance of updates and modifications of such changes will be confirmed by (i) use of the Services thirty (30) days after you have been notified of the change and the modified TOS have been posted to app.circit.io or (ii) your indication of agreement to the updated terms by email or otherwise. In the event you do not agree to any changes to these TOS, you must notify Circit by email within 30 days of receipt of the notification of change and you will have the right to terminate these TOS free of charge and with effect at any time up until the date when the changes apply and your account will be disabled.

6. Account Information Services – Supervised by the Central Bank of Ireland

6.1 Circit do not charge you for the Account Information Services (AIS) feature of the Services.

6.2 The AIS feature enables Circit to access the balance information and transaction information on the accounts which you have selected and authorised. This is called Account Information Services Data. Upon successful authorisation by you, the Evidence Provider sends Circit Account Information Services Data and Circit makes that information available to the Auditor or Requestor. Circit cannot make any transfers or payments in its status as Account Information Services Provider.

6.3 If you grant approval to your Evidence Provider to share Account Information Services Data with an Auditor or Requestor through the AIS, you permit Circit to transmit Account Information Services Data in encrypted form, from the authorised accounts to your Auditor or Requestor, as applicable.

6.4 In order to set up the AIS feature you do the following: log-in to your Circit account after being invited by an Auditor or Requestor. Click on the new authorisation request for your Evidence Provider, then follow the instructions provided by your Evidence Provider to grant authorisation for Circit to transmit the Account Information Services Data. At all times, your interaction with the Evidence Provider through the AIS will be subject to that entity’s terms and conditions of service. Once Circit has been authorised to transmit the data from the Evidence Provider it will be made available to the Auditor or Requestor. The authorisation to permit the Auditor or Requestor to view the account details may be on a one-time basis or a permission to cover a specified period. You can revoke the authorisation and withdraw consent at any time in the Circit dashboard.

6.5 In order to set up the AIS, you will need to have up to date and commonly-used web browsers and be connected to the internet. All our communications and notifications regarding the AIS will be sent through our Circit Platform or directly to you to the email address you have provided to Circit.

6.6 Once you and the Evidence Provider have authorised access to your Account Information Services Data, this information will become available to the parties you have authorised through the Circit Platform within a maximum of 48 hours.

6.7 These TOS contain the specific terms relating to the AIS. They are available on the Circit Platform and you can print and save these TOS for your records. These TOS and any subsequent communications we have will be through the English language. You may request a copy of the up-to-date TOS as any time from us by contacting us by email. Clause 5 contains further detail on updates and modifications to the TOS and how these will apply to you.

6.8 We will notify you in the event of suspected or actual fraud or security threats through your Auditor or Requestor or to the e-mail address you have provided to Circit which states the nature of the breach, the likely consequences and mitigating measures to address the breach and its effects.

6.9 You must use your log-in details safe and secure and in accordance with the terms governing their issuance and use. If you become aware of the loss, theft, misappropriation or unauthorised use of the log-in details, you should notify Circit and the Auditor or Requestor immediately.

6.10 Circit may use Collaborator Data that is metadata (e.g. requestID, date, sender, recipient) for performance monitoring, support, trend analysis, diagnostics and security monitoring.

7. Term and termination

7.1 This Agreement shall commence on the Effective Date and shall continue unless:

(a) either party notifies the other party of termination, in writing, with at least 30 days’ notice; or

(b) otherwise terminated in accordance with the provisions of this AIS TOS or the Collaborator TOS; and the period from the Effective Date until the date of termination as described above shall constitute the Term.

8. Governing law

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of Ireland.

9. Jurisdiction

Each party irrevocably agrees that the courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).
